We process and retain such materials solely for the purpose of administering the agreed Programs, including evaluation, due diligence, stewardship, and required record-keeping.

Confidentiality is fundamental to our foundation, particularly given the sensitive donor records, grant applications, beneficiary information, and financial data we handle during program administration. Both parties agree to maintain the confidentiality of any non-public information disclosed by the other party in the course of engaging with our Website or Programs.

To the maximum extent permitted by applicable law, the total aggregate liability of ELEVATE YOUR BEING FOUNDATION LLC arising out of or related to these Terms or the administration of Programs shall not exceed the total amount of fees, if any, paid by the participant to ELEVATE YOUR BEING FOUNDATION LLC for the specific Program giving rise to the claim during the twelve (12) months preceding the event giving rise to the liability. Because donations are charitable contributions rather than fees, donated amounts are not included in this calculation.
Participants acknowledge that grantmaking and fundraising outcomes depend on many factors beyond our control, including the accuracy and timeliness of information provided by applicants, third-party platform availability, regulatory changes, and economic conditions. ELEVATE YOUR BEING FOUNDATION LLC shall not be liable for outcomes resulting from inaccurate, incomplete, or untimely information provided by participants or for factors beyond our reasonable control.
The limitations and exclusions in this section apply to the fullest extent permitted by applicable law. Some jurisdictions do not allow the exclusion or limitation of certain types of damages, so some of the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless ELEVATE YOUR BEING FOUNDATION LLC, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Website, your violation of these Terms, your violation of any applicable law or the rights of a third party, or any content or information you submit to us, including inaccurate or incomplete information provided in grant, scholarship, or campaign applications.

Upon termination, all licenses and rights granted to you under these Terms cease immediately. Provisions of these Terms that by their nature should survive termination — including but not limited to intellectual property, confidentiality, limitation of liability, and indemnification — shall survive and remain in effect.
These Terms and any dispute arising out of or related to them or to the use of our Website or Programs shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.
Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Casper, Natrona County, Wyoming, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.

In the event of a Force Majeure Event, ELEVATE YOUR BEING FOUNDATION LLC will use commercially reasonable efforts to resume performance as soon as practicable. If a Force Majeure Event continues for more than thirty (30) days, either party may terminate the affected program participation without penalty. Funds held for affected programs will be applied to their stated charitable purpose or a substantially similar purpose in accordance with applicable law.
The party affected by a Force Majeure Event shall promptly notify the other party of the event, its expected duration, and the steps being taken to mitigate its impact. Failure to provide timely notice may limit the protections of this section.
These Terms, together with any program, grant, or trust agreement entered into between you and ELEVATE YOUR BEING FOUNDATION LLC and any policies referenced herein, constitute the entire agreement between the parties regarding the use of our Website and Programs and supersede all prior or contemporaneous agreements, communications, and understandings, whether written or oral.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms.
